Thank you for using the Manufacture 2030 websites and software that are located at https://manufacture2030.com and related subdomains including https://bee.manufacture2030.co... (the M2030 bee “Service”)

M2030 bee can be used to investigate, prioritise and execute and manage resource efficiency actions across your manufacturing operations.

M2030 bee is provided by 2degrees Ltd. (“we”, “our”, “us”), a company registered in England and Wales with registration number 06485099 and with registered office at 9400 Garsington Road, Oxford Business Park, Oxford, OX4 2HN.

By accessing or using M2030 bee, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

If you are using M2030 bee on behalf of a company or other legal entity, you represent that, in relation to your use of the Service, you have the authority to bind such entity and its affiliates to these Terms and Conditions. In this case the terms “you” or “your” will refer to such entity and its affiliates. If you do not have such authority, you must not accept these terms, and may not use the Service.

The following Terms and Conditions shall govern the relationship between you and us in relation to your use of M2030 bee:

1.         Registration and scope of use

1.1.      All of the data provided by you at registration must be accurate and complete.

1.2.      You must not register for or access M2030 bee if you are under 18 years old.

1.3.      You must not share your login credentials for M2030 bee.

1.4.      You must provide a valid company email address.

1.5.      You confirm you have read and agree to be bound by the Privacy Policy located at http://manufacture2030.com/pri...

1.6.      Your use of M2030 bee will be limited in scope so as to conform with our account use policy: each M2030 bee account is valid for use at a single facility and may be used by up to 5 members of your company (a facility will typically house a manufacturing system with its own ancillary plant, meaning that more than one factory facility may be co-located in a single location). M2030 bee team functions, dashboards and administrative functions may be used for the number of sites covered by your licence from us.

2.         General obligations when using M2030 bee

2.1.      You must obtain any required permissions from within your organisation, and from any relevant third parties, prior to submitting information or data to M2030 bee

2.2.      You must ensure that all information, data or other information you submit to M2030 bee is true and non-misleading

2.3.      You must not access or use M2030 bee for the purpose of competitive research or for scoping, benchmarking, developing, or providing any similar or competitive product or service

3.         Compliance with relevant competition law

3.1.      We wish to ensure that all information sharing via M2030 bee is fully compliant with competition law and to mitigate any related risks in direct or indirect exchanges of Commercially Sensitive Information*. To this end, you shall agree with the following principles:

a)         If you share information with other users of M2030 bee, it must be limited to that which is needed to support legitimate business objectives.

b)         You shall not share Commercially Sensitive Information with other users of M2030 bee unless and until you have obtained appropriate internal legal clearances authorizing the release of such Commercially Sensitive Information as compliant with all applicable competition laws and regulations.

c)         You shall not accept Commercially Sensitive Information from other M2030 bee users unless and until you have obtained appropriate internal legal clearances authorizing the acceptance of such Commercially Sensitive Information as compliant with all applicable competition laws and regulations. Accordingly, if you receive Commercially Sensitive Information via M2030 bee, you shall not use, share or respond to such Commercially Sensitive Information until such required legal clearance is obtained, except as is necessary to conduct the required legal review.

“Commercially Sensitive Information” refers to any non-public information that reveals, directly or indirectly, current or future commercial plans or strategies of any organisation, and that could reasonably be expected to encourage, facilitate, constitute or imply an agreement or collusive anti-competitive practice, including information concerning: prices or other terms of sale, investment plans, production costs, market shares and sales territories, bidding or refraining from bidding plans, and the selection, rejection or termination of customers and suppliers.

4.         Restrictions of use.

When using M2030 bee you must not:

4.1       Use any software or scripts (you may use a standard Web browser to use M2030 bee). For example, the use of web spider technology is prohibited.

4.2       Delete, modify or copy any contents of M2030 bee, unless these actions are necessary for the normal and proper use of the Service.

4.3       Distribute or publicly disclose the contents of M2030 bee.

4.4       Perform any actions which may impair the operability of M2030 bee, particularly actions which may overload M2030 bee or its associated infrastructure.

4.5       Upload, post or otherwise make available any material that contains computer code, files or programs designed to interrupt, destroy or limit the functionality, or compromise the security of M2030 bee, or the information systems of its users.

4.6       Use or attempt to use another user’s login details or account (including the accounts of our staff).

4.7       Use M2030 bee to make unsolicited sales or marketing approaches to other users.

4.8       Communicate in any insulting or sexual way (suggestive or explicit)

4.9       Impersonate any person or entity, or falsely state or otherwise misrepresent yourself, or your affiliation with any person or entity

5.         Suspension or Termination of access to M2030 bee

5.1       We reserve the right, at our sole discretion, to suspend or terminate your access to M2030 bee, and remove and discard any data or information you have uploaded to the Service, without liability and for any reason, including if we believe that you have violated these Terms and Conditions, or if you do not accept and agree to be bound by any modification to these Terms and Conditions.

5.2       We will use good faith efforts to provide reasonable notice to you prior to suspension or termination of your access.

5.3       If we terminate an account without cause we will refund the prorated, unearned portion of any amount that you have prepaid to us in relation to such account.

5.4       The following provisions will survive expiration or termination of these Terms and Conditions for any reason: all terms of the Privacy Policy, and sections 6, 8, 11, 12, 13.

6.         Intellectual property, trademarks and copyright

6.1.      The copyright and all intellectual property rights in M2030 bee are owned and retained by us. Reproduction in any form of any part of the Service or its contents is prohibited except as required for the normal and proper use of the Service. All rights, save as expressly granted, are reserved.

6.2.      No license or right to use any trademark or service mark of ours or any third party is granted to you in connection with the use of the Service.

7.         Information that you upload to M2030 bee

7.1.      You can upload, post or share images, messages, text, information, data, files, and other content to M2030 bee (collectively "Your Content").

7.2.      We do not assert any ownership over Your Content; rather, subject to the rights granted to us in these Terms and Conditions, you retain full ownership and any intellectual property rights or other proprietary rights associated with Your Content.

7.3.      You can upload confidential information to M2030 bee. Any information you upload will remain confidential and will not be shared with 3rd parties, unless you choose to do so.

7.4.      You are solely responsible for Your Content and may not upload it, post it, or share it with other users of M2030 bee, if you do not have permission to do so, or did not create it yourself.

7.5.      When you upload, post or share Your Content using M2030 bee, you authorize and direct us to make such copies thereof as we deem necessary in order to provide the Service.

7.6.      You understand and agree that we may delete content that you post or share at our sole discretion, without informing you. You are solely responsible at your own cost and expense for creating backup copies of any of Your Content that you regard as valuable.

7.7.      By posting or sharing Your Content to M2030 bee, you automatically grant, and you represent and warrant that you have the right to grant, to us an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, display, reformat, translate, excerpt (in whole or in part), perform and distribute Your Content in connection with your use of the Service.

7.8.      When you post or share Your Content to M2030 bee you warrant that it will not infringe the rights of any third party.

8.         Data Protection

8.1.      We recognise that any personal data provided by you to us is sensitive information, and we shall be careful in the way that we handle such data. We will comply with all applicable legal provisions regarding data protection (UK and European Data Protection Regulations and any other applicable legislation).

9.         Payments and Refunds

9.1.      In order to use M2030 bee, you must hold a valid licence for your facility.

9.2.      Once we have a purchase order from you, we will activate your account within 5 working days of the start date specified on your order.

9.3.      The M2030 bee Service is billed annually in advance, and we must have received payment from you in order for your licence to be valid. Payment terms are 30 days net. Subject to 5.3. of these Terms and Conditions, payments are non-transferable and non-refundable. 

10.       Changes to M2030 bee

10.1     We reserve the right to modify the M2030 bee Service at any time.

11.       Exclusion of Liability

11.1.    Nothing in these Terms and Conditions and in particular within the 'Exclusion of Liability' clauses shall attempt to exclude liability that is not permissible to exclude under applicable law, including without limitation, for death or personal injury, or for fraudulent misrepresentation.

11.2.    The provisions of this section allocate the risks under these Terms and Conditions between the parties, and you acknowledge that you have relied on these limitations in determining whether to agree to these Terms and Conditions.

11.3.    We exclude any warranties, undertakings or representations (either express or implied) to the full extent permitted under applicable law, that any information, recommendations or suggestions you may obtain through M2030 bee are true, accurate, complete, or that they fulfil or serve any particular purpose.

11.4.    You understand and agree that in no circumstances will 2degrees or its directors, employees or agents be liable to you or any third person for (a) any indirect, incidental, special, exemplary, consequential or punitive damages, including lost profits, lost sales or business, lost data or business interruption, or (b) for any direct damages, costs, losses or liabilities in excess of any fees actually paid by you in relation to your use of M2030 bee during a period of six (6) months preceding the event giving rise to your claim or, if no fees apply, one hundred ($100) U.S. dollars.

11.5.    Access to and use of M2030 bee is at your own risk and we do not warrant that the use of this website or any material downloaded from it will not cause damage to any property, or otherwise minimise or eliminate the inherent risks of the internet including but not limited to loss of data, computer virus infection, spyware, malicious software, trojans and worms.

11.6.    We may provide links to other websites, service providers or resources for you to access at your sole discretion. You acknowledge and agree that, we are not responsible for the availability of such external sites, service providers or resources, and that we do not review or endorse and shall not be responsible or liable, directly or indirectly, for (i) the privacy practices of such websites, (ii) the content of such websites, (iii) any information, advice or assistance you may obtain from such websites, or (iv) the use that you or others make of these websites, nor for any damage, loss or offence caused or alleged to be caused by, or in connection with, the use of or reliance on content, products, goods or other materials or services available on such external websites or resources.

11.7.    Events related to maintenance, security or capacity requirements, and/or events beyond our control (e.g. disruptions in public communication infrastructure, power failures, equipment failures etc.), may result in temporary malfunctions of, or interruptions to the M2030 bee Service, for which we will not assume liability.

11.8.    If you enter into agreements with other users of M2030 bee, we shall not be a contracting party to these agreements. You alone are responsible for the execution and/or fulfilment of agreements into which you enter with other users of M2030 bee. We shall not be held liable if you are unable to contact other users through M2030 bee regarding such agreements. Furthermore, we shall not be liable for breaches of duty in relation to agreements you enter into with other users of M2030 bee.

12.       Governing Law / General information

12.1.    These Terms and Conditions of use and your use of M2030 bee shall be governed by and construed in accordance with English law and the English Courts shall have exclusive jurisdiction in connection with all matters relating to these Terms and Conditions, and your use of M2030 bee.

12.2.    Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision.

12.3.    If any provision of these Terms and Conditions is, for any reason, found by a court of competent jurisdiction to be invalid and/or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law. You agree to the replacement of any invalid and/or unenforceable provision with a valid and/or enforceable provision which most closely approximates the intent and economic effect of the invalid and/or unenforceable provision.

12.4.    You agree that regardless of any statute or law to the contrary, any arising out of or related to your use of M2030 bee must be filed within six months after the event from which such claim arose or be forever invalid.

12.5.    We reserve the right to use your company / organization name and logo to identify you as a M2030 bee user or customer, on our website and in other communications materials provided to existing or potential customers, partners, and investors. To decline us this right you need to email customer_service@manufacture2030.com

12.6.    The section titles in the Terms and Conditions are for convenience only and have no legal or contractual effect.

12.7.    We reserve the right to amend these Terms and Conditions at any time. In the event of amendment, we will post the changes to the Terms and Conditions on this page. It is your responsibility to check this page to determine if you are still in agreement with the Terms and Conditions. We will use commercially reasonable efforts to notify you by email, or through other reasonable means. Any such changes will become effective upon the earlier of (a) your use of the Site and/or Service with actual knowledge of the change, or (b) fifteen (15) days after they are posted. In the event that you do not accept any amendments to the Terms and Conditions, you must cease to use M2030 bee.

13.       Notices

13.1.    You may submit all notices to us by email using the address customer_service@manufacture2030.com. Alternatively you may submit notices to our registered office address as detailed at the start of these Terms and Conditions.

13.2.    We will send notices to you at your registered office address, or any other valid address that you inform us is suitable for such purpose.
