M2030 bee is provided by 2degrees Ltd. (“2degrees”), a company registered in England and Wales with registration number 06485099 and with its registered office at 9400 Garsington Road, Oxford Business Park, Oxford, OX4 2HN.
M2030 bee can be used by companies (and their permitted users) or individuals who have paid the relevant license fee or have otherwise been authorised by 2degrees. You must not access or use M2030 bee if you are not properly authorised to do so.
1. Registration and scope of use
1.1. You shall ensure that all of the data provided by you at registration is accurate and complete. You must include a valid company email address.
1.2. The Service is restricted to individuals who are 18 years old and above. You must not register for or access the Service if you are under 18 years old.
1.3. Login credentials for accessing the Service (username and password) are personal to the individual user and you must not share them with, or disclose them to, anyone else.
1.4. Your M2030 bee licence can be used for pre-agreed named facilities (a facility will typically house a manufacturing system with its own ancillary plant, so that a location may have more than one facility). Any new facilities will need an additional licence. Each M2030 bee account can be used by one named individual identifiable by a unique email address, associated with one or more of your facilities. Each account can use team and administrative functions and dashboards across all your named facilities.
2. General obligations when using M2030 bee
2.1. You must obtain the necessary permissions from within your organisation, and from any relevant third parties, prior to submitting information or data to M2030 bee (for example permissions to share know-how or personal information).
2.2. You must ensure that all information, data or other information you submit to M2030 bee is true and not misleading.
2.3. In using the Service, you must comply with the acceptable use policy set out in section 4 below. 2degrees reserves the right to terminate the Service immediately if it becomes aware that you are using it inconsistently with such terms.
2.4. A high speed Internet connection is required for proper transmission of the Service. You are responsible for procuring and maintaining the network connections, browser software and devices required to access the Service, and 2degrees does not provide any advice or support for those. 2degrees does not assume any responsibility for the availability, reliability or performance of any of the above connections or any computer networks or telecommunications facilities which are not owned, operated or controlled by 2degrees.
3. Compliance with competition law
3.1. It is your responsibility to ensure that when using or sharing information on or via M2030 bee, you do so in compliance with competition law. This includes avoiding direct or indirect exchanges of Commercially Sensitive Information* or using M2030 bee for coordinating or jointly undertaking any activity. To this end you shall comply with the following rules:
a) You shall not share Commercially Sensitive Information on or via M2030 bee unless and until you have obtained appropriate legal clearances authorizing the release of such Commercially Sensitive Information as compliant with all applicable competition laws.
b) You shall not accept Commercially Sensitive Information from other M2030 bee users without first obtaining legal clearance. Pending such clearance you shall not use, share or respond to such Commercially Sensitive Information except as is necessary to conduct the required legal review. If you believe, or your legal advisers confirm, that Commercially Sensitive Information has been inappropriately shared, you shall notify 2degrees of the event without delay, and not use, share or respond to such information further on or via M2030 bee.
**“Commercially Sensitive Information”** means any non-public information that could reasonably be expected to encourage, facilitate, constitute or imply anti-competitive practice, including information that reveals, directly or indirectly: (a) current or future commercial plans or strategies of any organisation, (b) prices or other terms of sale, (c) investment or marketing plans (d) production or procurement costs, (e) market shares and sales territories, (f) bid details or bidding intentions (g) customer or supplier details and any criteria or intentions regarding their selection, rejection or termination.
3.2. 2degrees does not provide any guarantees that there will not be Commercially Sensitive Information shared on M2030 by other users, nor is it obliged to carry out any monitoring of content. You are responsible for ensuring that your end-users follow the above rules, and for providing any necessary compliance training.
3.3. If you notify 2degrees of Commercially Sensitive Information shared via M2030 bee, 2degrees will aim to respond quickly and appropriately including removing the content from M2030 bee, at its discretion. It is your responsibility to take appropriate actions to prevent the further distribution and use of inappropriately shared Commercially Sensitive Information by your organisation.
4. Acceptable use policy
4.1. You can use M2030 bee to investigate, prioritise, execute and manage resource efficiency actions across your manufacturing operations and to share your experiences with other users. You are permitted to access and use M2030 bee and its contents, and to share information with other users, to the extent it is reasonably necessary for these purposes.
a) use any software or scripts (including web spider technology) other than a standard web browser;
b) delete, modify or otherwise interfere with any content made available by 2degrees or other M2030 bee users;
c) distribute, publicly disclose, resell or otherwise make M2030 bee or any of its contents available to unauthorised users;
d) perform any actions which may impair the operability of M2030 bee, particularly actions which may overload M2030 bee or its associated infrastructure;
e) upload, post or otherwise make available any material that contains computer code, files or programs designed to interrupt, destroy or limit the functionality, or compromise the security of M2030 bee, or the information systems of its users;
f) use or attempt to use another user’s login details or account (including the accounts of 2degrees staff) or otherwise attempting to gain unauthorised access to the Service or its contents;
g) use M2030 bee to make unsolicited approaches (including sales and marketing) to other users;
h) communicate in any impolite, disrespectful, defamatory, insulting, degrading, discriminatory or sexual way (suggestive or explicit);
i) impersonate any person or entity, or falsely state or otherwise misrepresent yourself, or your affiliation with any person or entity;
j) share personal information with other users, unless you have a clear right to do so and it is proportionate to your legitimate use of the Service;
k) create any derivative works, such as playbooks or database works, incorporating M2030 bee content other than your own; or scope, benchmark, develop, or provide any similar or competitive product or service; or harvest business or personal information made available by other users;
l) use M2030 bee for competitive research or corporate espionage, or induce others to disclose inappropriate information, or coordinate any actions with competitors, or use or share competitively sensitive information contrary to section 3 above;
m) make available any content or use the Service in a manner which is inconsistent with the intellectual property, confidentiality or privacy rights of any third parties;
n) use M2030 bee to lobby or make political statements, or advocate any violent or unlawful actions against any government, organization, group, individual or property.
5. Suspension or Termination of access to M2030 bee
5.2. Where practicable, we will provide reasonable notice to you prior to any suspension or termination of your access to the Services.
5.3. On termination of the Services, your access rights will be revoked and you will no longer be able to access the Services, including content you have uploaded to the Service. We reserve the right to permanently remove and discard any data or information you have uploaded to the Service, without further notice. You must ensure that any data or information you store or share using the Service is backed up or otherwise available to you.
6. Intellectual property, trademarks and copyright
6.2. In the event that you create any derivative work (including any database or information system) incorporating the content of M2030 bee (other than your own) in breach of this clause 6, you shall do one or more of the following at 2degrees' option: (a) assign the derivative work including the copyright and database rights (other than your own content) to 2degrees for a nominal consideration of one pound sterling; or (b) destroy all copies of the derivative work (other than your own content) and certify such destruction to 2degrees.
6.3. No license or right to use any trademark or service mark of 2degrees or any third party is granted to you in connection with the use of the Service.
7. Information that you upload to M2030 bee
7.3. You can upload confidential information to M2030 bee. Unless you make it available to other users of M2030 bee (for example by posting in a public discussion or submitting tips and hints), the information will remain visible within M2030 bee only to you. 2degrees will not share any information you post with third parties in any other way. It is your responsibility to manage access to your confidential information by other users.
7.4. You are solely responsible for your content. You must not upload it, post it, or share it with other users of M2030 bee, unless you are the owner of the content or have permission from the owner.
7.5. 2degrees will use your content in the following ways:
a) process, copy and distribute it for the purpose of providing the Service;
b) anonymise and aggregate your data (for example, achieved savings) and use it to update the aggregated data made available by the Service;
c) aggregate your actions with similar actions posted by other users, to develop new public actions available to M2030 bee users; and
d) indicate to other users that you are performing or have completed the same public actions, to enhance the community experience offered by the Service (subject to available anonymity options, and we will not display contact details in any event).
Accordingly, by uploading, posting or sharing your content, you grant 2degrees an irrevocable, perpetual, non-exclusive, transferable, fully paid, worldwide license (with the right to sublicense) to use, copy, display, reformat, translate, excerpt (in whole or in part), perform and distribute your content for these purposes.
8. Data Protection
8.1. We will handle with care any personal information provided by you to 2degrees and will comply with the EU General Data Protection Regulation 2016/679 and any other applicable legislation. However you must ensure that any personal information you share with other users on M2030 bee is done so lawfully.
8.2. 2degrees Ltd will maintain administrative, physical and technical safeguards to protect the security, confidentiality and integrity of your data as required by law. These safeguards include encryption of your data in transmission (using SSL or similar technologies).
9. Payments, Renewal and Refunds
9.1. If you are a manufacturer participating in a supply chain program:
a) The service is billed annually in advance for the full agreed subscription term. We must have received payment for your licence to be valid. We will activate your account within 2 working days of receiving your payment.
b) You may elect to terminate your subscription to the Service as of the end of your subscription term by providing notice within thirty (30) days before the end of the subscription term. If you do not provide such notice, your subscription will renew for the same period again, and will be charged as per our standard subscription charges at the time of renewal for the relevant service plan.
9.2. If you are a manufacturer contracting directly with us:
a) The Service is billed annually in advance for the full agreed subscription term.
b) Standard payment terms are 30 days net or as otherwise stated in the service agreement.
c) We will activate your account within 3 working days of the start date specified on your order.
d) We reserve the right to suspend the Service if we do not receive payment on time, until it is received.
e) You may elect to terminate your subscription to the Service as of the end of your subscription term by providing notice within thirty (30) days before the end of the subscription term. If you do not provide such notice, your subscription will renew for the same period again, and will be charged as per our standard subscription charges at the time of renewal for the relevant service plan
9.3. If you are a Supply Chain buyer contracting with us for a supply chain program:
a) The Service is billed annually in advance for the full agreed programme of work.
b) Standard payment terms are 30 days net or as otherwise stated in the service agreement.
c) We reserve the right to suspend the Service if we do not receive payment on time, until it is received.
9.5. Our charges do not include any taxes, levies or duties, including value-added, sales, use or withholding taxes assessable by any local or foreign public body (collectively "Taxes"). 2degrees will invoice you for such taxes if required and you agree to pay such taxes if so invoiced.
10. Availability and Updates
10.1. The Service will be accessible 24 hours a day, 7 days a week, except during maintenance periods, network or security incidents and other downtime events as described below. While 2degrees targets an availability rate of 99%, it does not warrant that the Service will be uninterrupted or error free.
10.2. The Service may become wholly or partially unavailable without notice in the event of (a) network failures, interruptions, outages, delays, 3rd party system unavailability or other connectivity problems, (b) suspension of the Service by 2degrees in order to remedy a vulnerability or data breach likely to compromise the security of the Service or of the users' data, (c) routine or extraordinary maintenance or updates. In such event, 2degrees will have no responsibility or liability towards you in relation to the unavailability of the Service or any failure to notify you (though we will use our reasonable endeavours to keep you informed).
10.3. 2degrees may at its discretion and without notice make upgrades, fixes or enhancements to the Service or otherwise modify the Service at any time.
11. Limitation of Liability
11.3. We exclude any warranties, undertakings or representations (either express or implied) to the full extent permitted under applicable law, that any information, recommendations or suggestions you may obtain through M2030 bee are true, accurate, complete, or that they fulfil or serve any particular purpose.
11.4. 2degrees will only be liable for direct reasonably foreseeable losses. 2 degrees will not be liable to you or any third party for any indirect, incidental, special, exemplary, consequential or punitive damages, including lost profits, lost sales or business, loss of anticipated savings, lost data or business interruption.
(a) the Service fees incurred by you for the subscription period in which the first event giving rise to a claim occurred; or
(b) 150% of the Service fees incurred by you for the subscription period in which the first event giving rise to a claim occurred, in the event that a court or public body determines that 2degrees is liable for gross negligence, intentional misconduct or breach of its legal obligations in respect of your personal information, or in the event that the liability cap in paragraph (a) above cannot be applied for any reason.
11.6. Access to and use of the Service is subject to risks inherent in ITC networks including loss of data, computer virus infection, spyware, malicious software, trojans and worms. Except in the event of intentional misconduct or gross negligence, 2degrees we will not be liable for any damage to your systems or property resulting from the Service or any material downloaded from it or transmitted through it.
11.7. Although we use reasonable efforts to ensure that the Service and its contents are accurate and complete, we do not guarantee this to be the case. Information contained on M2030 bee is not tailored to your individual situation and, as a result, such information may be unsuitable for you and its use is at your own risk. You must take adequate steps to verify the accuracy, completeness and suitability of any information contained on or received through M2030 bee.
11.8. The Service may contain links to external websites (including service providers or resources) for you to access at your sole discretion. We are not responsible for the availability or accuracy of such websites and we do not endorse them. 2degrees will not be liable, directly or indirectly, for (i) the privacy practices of such websites, (ii) the content of such websites, (iii) any information, advice or assistance you may obtain from such websites, (iv) any damage, loss or offence caused by your use of such websites or the content, products, goods or services available on them.
11.9. Events beyond our control (including disruptions in public communication infrastructure, power failures, equipment failures, strikes, disrupted services from our suppliers), may result in temporary or permanent malfunctions of, or interruptions to the Service. Such events will not be considered a breach of 2degrees' obligations towards you, which will be suspended for such time as such events continue.
11.10. If you enter into agreements with other users of M2030 bee, you alone are responsible for their fulfilment. 2degrees will not be a contracting party and will not be liable for any failure by you to comply with such agreements (including if you are unable to contact other users through the Service).
12. Supply Chain Programmes
This section applies only to customers who have signed up to M2030 Bee pursuant to a Supply Chain arrangement with a supply chain owner as identified in their order form (“Supply Chain Owner”), or when indicated by selecting a buyer in the Bee 'Supply-chain programs' setting.
12.1. You acknowledge that in signing up to M2030 Bee and in receiving any applicable licence fee discounts, you are benefiting from 2degrees’ contract with the Supply Chain Owner, under which the Supply Chain Owner is able to receive certain metrics from 2degrees relating to your use of M2030 Bee, as described in sections 12.2 and 12.3 below.
You accordingly agree to 2degrees collecting, processing and sharing such metrics with the Supply Chain Owner, and agree that your licence fee discount is conditional on your compliance with the terms of this section.
12.2. 2degrees will provide certain metrics to the Supply Chain Owner, substantially as follows:
a) Metrics relating to usage of the Bee tool (for example the date a member of your facility team last accessed Bee);
b) Your facility’s annual environmental impacts (for example, CO2 footprint & waste to landfill) based on data you input in the ‘measurements’ page.
c) The aggregated environmental metrics from of each stage of your facility’s Action Plan. For example: Facility name: total tonnes of waste reduction shortlisted = X, In progress = Y, and Completed = Z.
d) Anonymised insights from Action Plans. For example, the title of the Action ‘in progress’ with the biggest CO2 reduction, within a buyer category, and the most popular type of actions within a region (for example ‘Compressed Air Leak Detection’ is being implemented by 15 facilities in the N. America region).
12.3. Where a buyer has specified Actions for suppliers to report on (specified in a ‘collection’ on the Actions page). Your uptake and progress on these Actions, as well as any associated environmental metrics, will be reported.
12.4. 2degrees will never share the following metrics to the Supply Chain Owner, substantially as follows:
a) Your ‘facility's total production’ and any data in the ’% for buyer categories’, these are only used to normalise other data (for example CO2 per tonne, or CO2 apportionable to a specific buyer category).
b) Any financial data you choose to input against actions in your action plan, or for your utility bills. These are optional fields some participants find useful to use when using Bee as a way of supporting their action plans.
12.5. The Supply Chain Owner may (a) publish the metrics in its corporate sustainability reports or share them with relevant stakeholders for similar reporting, publicity or advocacy purposes, and (b) share the metrics down to its supply chain where it considers that to be of value to its supply chain, in each case subject to individual site and supply chain member (customer) details being anonymised.
12.6. To ensure that the Supply Chain Owner is able to receive adequate metrics and updates, you shall (a) update M2030 Bee at least once every six months; and (b) participate in periodic phone calls with the M2030 Bee team for review and feedback. Your feedback and take-aways from the review sessions may be shared with the Supply Chain Owner to help continually improve the service.
12.7. To the extent that anything set out in this section requires 2degrees to use content that you post on M2030 Bee, it shall be treated as included in the usage rights that you grant to 2degrees under clause 7.5. Aggregated data and metrics will be owned by 2degrees.
12.8. If the Supply Chain Owner does not renew its contract with 2degrees at the end of any subscription period, you are welcome to re-subscribe to M2030 Bee as an independent user on normal (undiscounted) licensing term. If the Supply Chain Owner terminates its contract with 2degrees early during an applicable subscription period, you are free to continue to use M2030 Bee as an independent user until the end of your subscription period and any discount will remain in place until the end of the subscription period.
13.4. Any claim arising out of your use of the Service must be communicated to us within 30 days of you becoming aware of the circumstances of the claim (such as incurred losses or receipt of a third party claim), and any formal claimed must be filed within 6 months of such event. Any claims raised outside of the period will not be valid.
13.5. We reserve the right to use your company / organization name and logo to identify you as a M2030 bee user or customer, on our website and in other communications materials provided to existing or potential customers, partners, and investors.
